Terms of Service

These terms are the agreement between Codeless Pty Ltd (ABN 81 669 880 773), trading as Signadoc (“we”, “us”), and the organisation that opens a Signadoc account (“you”). By creating an account, or by using Signadoc on behalf of an organisation, you accept these terms.

1. The service

Signadoc lets you upload PDF documents, place fields on them, invite people to sign electronically, and receive a sealed PDF with a certificate of completion and an audit trail. We provide the service on a subscription basis as described on your plan.

We may change, add or remove features. If a change materially reduces the service, we will tell you in advance by email or in the application.

2. Your account and organisation

You need an account to use Signadoc. Documents, folders, contacts and API keys belong to an organisation, not to an individual. Whoever creates an organisation becomes its owner and may invite others and set their roles.

  • Keep your credentials confidential; every sign-in also requires a code sent to your email.
  • You are responsible for what the people you invite do in your organisation.
  • Tell us promptly at contact@signadoc.com.au if you believe an account has been compromised.
  • You must be at least 18 years old and able to enter into a binding contract.

3. Electronic signatures

Signadoc is a tool for creating electronic signatures. In Australia, the Electronic Transactions Act 1999 (Cth) and its state equivalents recognise electronic signatures where the method identifies the signer, indicates their intention, and is as reliable as appropriate — and where the other party consents to receiving the signature electronically. Signadoc records consent, identity evidence (email address, IP address, timestamps, user agent) and the document hash to support this.

We do not advise on whether an electronic signature is valid or appropriate for your document. Some documents — such as wills, powers of attorney, statutory declarations and certain land dealings — are excluded from those Acts or carry additional requirements. It is your responsibility to confirm that electronic signing suits your document and jurisdiction, and to obtain legal advice where needed.

4. Your content

You keep all rights in the documents and data you upload (“your content”). You grant us a limited licence to host, process, transmit and display your content solely to provide the service to you — for example to render pages, place signatures, seal the final PDF and deliver it to your recipients.

You warrant that you have the right to upload your content and to invite the recipients you nominate, and that doing so does not breach anyone’s rights or any law.

We do not sell your content, use it for advertising, or use it to train machine learning models.

5. Acceptable use

You must not use Signadoc to:

  • forge a signature, impersonate someone, or send a document you are not entitled to send;
  • upload unlawful, infringing, or malicious material;
  • send unsolicited bulk email through the signing-request mechanism;
  • circumvent plan limits, rate limits or access controls, or probe our systems without written permission;
  • resell or provide the service to a third party except as their agent under your own account.

We may suspend an account or an organisation immediately where we reasonably believe this clause has been breached, or where required by law.

6. Plans, fees and limits

Each organisation is on a plan with a monthly document allowance and a number of member seats. Sending a document consumes one document from the allowance; documents already out for signature are never affected by a limit. When an allowance is exhausted, new sends and invitations are blocked until the period resets or the plan changes.

Fees are stated in Australian dollars and, unless stated otherwise, exclude GST. During the current release plans are assigned by us and invoiced separately; fees are payable within the terms stated on the invoice. We may change pricing with at least 30 days’ notice before it applies to your next period.

7. Availability and support

We aim to keep Signadoc available and to restore service promptly, but we do not offer a guaranteed uptime commitment. Planned maintenance will be notified where practical. Support is by email at contact@signadoc.com.au during Australian business hours.

8. Privacy and security

Our handling of personal information is described in our Privacy Policy, which forms part of these terms. Documents are encrypted in transit and at rest with our storage provider, access is scoped to the owning organisation, and every material action on a document is recorded in an append-only audit trail.

Where you upload personal information about other people, you are the entity responsible for that information and we handle it on your behalf and on your instructions.

9. Data retention and export

Your documents remain available while your account is active. You can download any completed document and its certificate at any time. If your subscription ends we will keep your data for 30 days so you can export it, after which we may delete it. Deleting a document removes it from your workspace; redacting a document permanently destroys the redacted content and the original file.

10. Intellectual property

We own the Signadoc software, brand and documentation. Nothing in these terms transfers any of it to you beyond the right to use the service while your account is in good standing. Feedback you send us may be used without obligation to you.

11. Australian Consumer Law

Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded. Where our liability for failing to meet a consumer guarantee can be limited, our liability is limited to resupplying the service or paying the cost of having it resupplied.

12. Liability

Subject to clause 11, and to the maximum extent permitted by law: neither party is liable for indirect or consequential loss, loss of profits, loss of revenue or loss of data; and our total liability arising from or in connection with the service in any 12-month period is limited to the fees you paid us for the service in that period.

We are not liable for the legal effect, validity or enforceability of any document you send or sign using Signadoc.

13. Suspension and termination

You may stop using Signadoc and close your organisation at any time. We may suspend or terminate an account for material breach of these terms, for non-payment after notice, or if we are required to by law. On termination your right to use the service ends; clauses that by their nature survive (including 4, 10, 11, 12 and 14) continue to apply.

14. Governing law

These terms are governed by the laws of South Australia, Australia. The parties submit to the non-exclusive jurisdiction of the courts of South Australia and the courts able to hear appeals from them.

15. Changes to these terms

We may update these terms. If a change is material we will notify you by email or in the application before it takes effect, and we will ask you to accept the updated terms when you next sign in. Continuing to use Signadoc after that point means you accept the change.
